Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the ZipLeads website located at zipleads.com, the ZipLeads customer portal, and all related services (collectively, the “Service”), operated by ZipLeads Direct (“ZipLeads,” “we,” “our,” or “us”).
By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Eligibility and Account Registration
1.1 Eligibility
You must be at least 18 years of age and legally authorized to enter into contracts on behalf of yourself or the business entity you represent in order to use the Service. By using the Service, you represent and warrant that you meet these requirements.
1.2 Account Registration
To access most features of the Service, you must register for an account by providing accurate, complete, and current information, including your company name, business address, contact email, and phone number. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
1.3 Account Security
You agree to notify ZipLeads immediately at support@zipleads.com if you suspect unauthorized access to your account. ZipLeads will not be liable for any loss resulting from unauthorized use of your account where you have failed to maintain the security of your credentials.
2. Description of the Service
ZipLeads provides a marketing automation platform that enables home service businesses to:
- Access new homeowner lead data derived from publicly recorded deed and mortgage filings.
- Create, schedule, and automate direct mail campaigns to targeted recipients within defined geographic territories.
- Query a database of residential properties within their defined service area.
- Manage campaign history, track mail piece delivery, and view lead activity data.
The specific features available to you depend on your subscription plan. ZipLeads reserves the right to modify, update, or discontinue any feature of the Service at any time, with reasonable notice where material changes are made.
3. Subscription Plans and Billing
3.1 Subscription Plans
ZipLeads offers tiered subscription plans as described on our pricing page. Each plan includes defined limits on leads per month, territories, automation features, and user seats. You may upgrade or downgrade your plan at any time; upgrades take effect immediately, and downgrades take effect at the end of your current billing cycle.
3.2 Subscription Fees
Subscription fees are charged on a monthly or annual basis, as selected during signup, beginning on the date your account is activated. All fees are stated in U.S. dollars. Subscription fees are non-refundable except as expressly stated in these Terms or required by applicable law.
3.3 Mail Piece and Usage Fees
In addition to your subscription fee, you will be charged for direct mail pieces sent through the Service at the per-piece rate applicable to your plan at the time of the order. Usage fees for overages (leads, territories, or features beyond your plan limits) will be charged at the rates displayed in your account at the time of use.
3.4 Billing and Payment
All payments are processed through Stripe, our third-party payment processor. By providing a payment method, you authorize ZipLeads to charge your payment method for all fees incurred under your account. In the event of a failed payment, we will attempt to process the charge again on days 1, 3, and 5 following the failure. If payment is not received after the third attempt, we reserve the right to suspend or terminate your account after providing notice.
3.5 Taxes
You are responsible for all applicable taxes, duties, or levies associated with your use of the Service, except for taxes imposed on ZipLeads’ net income.
3.6 Price Changes
ZipLeads reserves the right to modify subscription pricing with at least 30 days’ advance written notice. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.
4. Free Trials
ZipLeads may offer a free trial period for new accounts. The specific duration and included features of the trial will be stated at the time of signup. At the end of the trial period, your account will automatically convert to a paid subscription at the applicable plan rate unless you cancel before the trial expires. A valid payment method is required to initiate a free trial.
5. Cancellation and Termination
5.1 Cancellation by You
You may cancel your subscription at any time by navigating to Account & Billing in your portal settings or by contacting us at support@zipleads.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Service through the end of the paid period. No prorated refunds will be issued for unused portions of a billing cycle.
5.2 Termination by ZipLeads
ZipLeads reserves the right to suspend or terminate your account immediately, without prior notice or liability, if you:
- Breach any provision of these Terms;
- Fail to pay fees when due;
- Use the Service for any unlawful purpose;
- Engage in conduct that ZipLeads, in its sole discretion, determines to be harmful to other users, third parties, or ZipLeads.
5.3 Effect of Termination
Upon termination of your account, your right to access and use the Service will immediately cease. You may export your lead data and campaign history prior to termination. ZipLeads will retain your data as described in our Privacy Policy and will not be liable to you for any damages resulting from termination of your account in accordance with these Terms.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to send unsolicited commercial communications (spam) in violation of applicable law, including the CAN-SPAM Act.
- Use lead data for any purpose other than direct marketing to prospective customers of your legitimate business.
- Resell, sublicense, or redistribute lead data obtained through the Service to third parties without the prior written consent of ZipLeads.
- Use the Service to harass, threaten, stalk, or harm any individual.
- Attempt to gain unauthorized access to any portion of the Service, including other users’ accounts, or to ZipLeads’ systems or networks.
- Introduce malware, viruses, or other malicious code into the Service.
- Use automated tools (bots, scrapers, crawlers) to access the Service in a manner that exceeds normal use or impairs performance for other users.
- Misrepresent your identity or affiliation in connection with use of the Service.
- Violate any applicable local, state, national, or international law or regulation.
ZipLeads reserves the right to investigate and take appropriate action, including account suspension, in response to any suspected violation of this section.
7. Lead Data and Intellectual Property
7.1 ZipLeads Data
All lead and property data provided through the Service, including the ZipLeads proprietary database, is the intellectual property of ZipLeads. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use such data solely for the purpose of direct marketing to prospective customers within your defined territory during your active subscription period.
7.2 Data You Upload
You retain all ownership rights to content you upload to the Service, including company logos, custom designs, and custom mailing lists. By uploading content, you grant ZipLeads a limited license to use such content solely as necessary to provide the Service (e.g., inserting your logo into mail piece templates).
7.3 ZipLeads Platform
The ZipLeads platform, including its software, user interface, design, algorithms, and documentation, is owned exclusively by ZipLeads and protected by intellectual property laws. Nothing in these Terms transfers any ownership of ZipLeads’ intellectual property to you.
7.4 Feedback
If you provide feedback, suggestions, or ideas regarding the Service, you grant ZipLeads a royalty-free, perpetual, irrevocable, worldwide license to use and incorporate such feedback without obligation or compensation to you.
8. Direct Mail Compliance
You are solely responsible for ensuring that all direct mail campaigns you create and send through the Service comply with applicable laws and regulations, including but not limited to:
- The United States Postal Service (USPS) mailing standards and regulations.
- The CAN-SPAM Act (to the extent applicable to mail communications).
- State and local consumer protection laws governing direct marketing.
- Do-Not-Mail registries, where applicable in your jurisdiction.
ZipLeads is not responsible for the content of mail pieces you design and send. By launching a campaign, you represent and warrant that your mail piece content is lawful, accurate, and not misleading.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
ZIPLEADS DOES NOT WARRANT THAT:
- THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS;
- LEAD DATA WILL BE COMPLETE, ACCURATE, OR CURRENT AT ALL TIMES;
- MAIL PIECES WILL RESULT IN ANY SPECIFIC BUSINESS OUTCOMES, LEADS, CONVERSIONS, OR REVENUE;
- THE SERVICE WILL BE AVAILABLE WITHOUT INTERRUPTION OR FREE FROM ERRORS OR SECURITY VULNERABILITIES.
Any reliance on lead data, campaign results, or recommendations provided by the Service is at your own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIPLEADS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ZIPLEADS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL ZIPLEADS’ TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ZIPLEADS IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in such jurisdictions, the limitations above apply to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless ZipLeads and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) content you upload, create, or distribute through the Service; or (e) any claim by a third party arising from mail pieces you send.
12. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is or becomes publicly available through no breach of this section, or that a party is required to disclose by law or court order.
13. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
14. Modifications to the Service and Terms
ZipLeads reserves the right to modify or update these Terms at any time. When changes are made, we will update the “Last Updated” date at the top of this page and, for material changes, provide notice via email or in-app notification at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
ZipLeads may also modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable advance notice of material changes where practicable.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.
15.2 Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, the parties agree to submit to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration conducted in Worcester County, Massachusetts. The award of the arbitrator shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.
15.3 Class Action Waiver
You agree to resolve any disputes with ZipLeads on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
15.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any order forms or subscription agreements, constitute the entire agreement between you and ZipLeads with respect to the Service and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
16.3 Waiver
ZipLeads’ failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of ZipLeads. ZipLeads may assign these Terms in connection with a merger, acquisition, or sale of assets without your consent.
16.5 Force Majeure
ZipLeads shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including natural disasters, power outages, internet disruptions, or government actions.
